Paintball & The Courts: The Smart Parts Bankruptcy

Well, now that the dust is somewhat beginning to settle following 68Caliber’s breaking of the news that SP has petitioned to convert their bankruptcy filing from Chapter 11 to Chapter 7, it’s time to take a look at a few things.

First – the filing is a public record and does contain all kinds of juicy tidbits of corporate operations – salaries, earnings, expenses, inventory, relationships, who owes what to whom – and if you head on over to Pacer.gov you can take a look at all of that stuff for yourself.  Democracy in action.

Second – the forums are heating up with the initials SP all over again and there is some amazingly inaccurate stuff out there – and also some amazing insightful stuff – not to mention the speculations, some of which make a science fiction novel look like yesterday’s headlines.

The big questions are:

what happens to the patents, who is going to be getting ahold of them and what are they going to do with them?

A brief, unscientific survey offers these top ‘guesses’:

Kee Action Sports

GIMilsim

Dye Precision

A group of members from PBNation, each of whom donated a nickle to the cause (hey, they’ve got a LOT of people!)

Some outside people with lots of money who know nothing about paintball

Someone who will purchase them and place them in the public domain

Someone who will purchase them and not enforce them

Nice selection there (lots of wishful thinking too)

The other main question floating around is essentially – what happens to my SP products/does this mean that AGD/AKA/LUXE/etc will be making the (whatever your discontinued dream gun is)

The two front runners in this contest are AGD E-Mags/Pneumags and almost any electro from AKA.

Beyond that – lots of wild speculation and incorrect information.   Or perhaps not so wild speculation and correct information.

Regardless, it would be nice to get the facts straight, so below you will find PDFs of some of the more interesting court documents that have so far been filed in this case:

Smart Parts Chapter 11 petition

Smart Parts  Notice – includes list of creditors

Smart Parts – Notice that no unsecured creditors committee will be formed

Smart Parts petition for chapter 7 pt1

Smart Parts petition for chapter 7 pt 2

Yeah, they’re boring court documents, but in this case they make for interesting reading!

Smart Parts Files for Chapter 7 Bankruptcy

Earlier this year (May) the distressed paintball manufacturing company Smart Parts of Latrobe, PA, filed for Chapter 11 bankruptcy protection Information filed with the bankruptcy application seem to indicate that the company had been in trouble since as early as October of 2009.

Chapter 11 Bankruptcy allows the debtor (Smart Parts in this case) to attempt to shed some of their debt and re-organize the company in a manner acceptable to secured creditors (and which presumably allows the debtor company to once again become profitable).

Rumors on the paintball street have run rampant since the original petition for bankruptcy in May, with speculations naming virtually every other paintball company as a possible buyer, savior, acquirer or partner that many anonymous/unnamed sources have assured the paintball public would be the return of Smart Parts.

Today’s filing is a petition by the debtor (Smart Parts) to change their form of bankruptcy from Chapter 11 to Chapter 7.

Chapter 7 is liquidation.

Barring some major unforseen circumstances, a Chapter 7 filing means that Smart Parts will be selling off all of their assets – inventory, machinery, IP – everything – in order to settle their debts with their creditors.

Smart Parts may yet return (who knows what the Gardner brothers will do), but if so,  it will be under an entirely new name, with entirely new products.

A copy of the filing is included below.

Paintball Jamboree: Kee At the 2010 Scouting Event in DC

I wanted to take a moment to share with you an update from the 2010 Boy Scout Jamboree where Empire Paintball is educating Boy Scouts and their parents about the sport of paintball at Fort AP Hill in Virginia where the event is taking place from 7/26 thru 8/4. By the time the event is through, thousands of Scouts will have enjoyed a timed paintball target shooting booth, and they’ll be educated about the rules of the game, equipment necessary to play, facts about safety, as well as where to play. Our daily interaction and educational discussions with Troop Leaders, Scouts and Parents about the sport has been well received. What really sums up our first few days here at the event can be best stated by one Boy Scout when asked what he thought of the shooting booth he said, “I didn’t know how much fun it was to shoot a real paintball gun”.

In addition to the shooting booth and educational discussions, we are handing out free book copies of The Parents Guide to Paintball book, by Steve Davidson, along with thousands of Paintball 101 info cards.

At Empire Paintball our commitment to grow the sport remains strong and directed. Please take a moment to share this news with our paintball community.

Long Beach, California – July 20, 2010 – Aggressive Sports, the exclusive American distributor for the high-performance Vanguard Creed top-level paintball marker, has completed a sponsorship agreement with one of the most successful and well-known scenario teams in paintball, the Able Company Immortals, for the remainder of the 2010 season! While specifics of the agreement were not disclosed, the Immortals will begin shooting the Vanguard Creed marker in August!

Aggressive Sports and Vanguard are both extremely excited to sponsor Able Company Immortals for the remainder of the 2010 season” said Kathlynn Roysdon, Customer Service Manager for Aggressive Sports Distribution. “They have a proven track record of not only wins on the field but an excellence in sportsmanship that is refreshing to see.” The agreement between the Able Company Immortals and Aggressive Sports comes on the heels of another great scenario team, Blue’s Crew, picking up the Vanguard Creed at the beginning of the 2010 season, with impressive results.

Representatives of Able Company Immortals echoed Roysdon’s excitement about the deal when they said “we’ve been trying out several marker companies over the past few months and have decided that Vanguard has the best product available.” With piles of “Most Valuable Team” and other awards and recognitions to their credit, the Immortals are already a force to be reckoned-with on the paintball field, a force with vastly increased firepower when they take the field with the Vanguard Creed. From August, 2010 forward, outgunning the Immortals on the paintball field will simply no longer be an option thanks to the accuracy, rate of fire, air efficiency and reliability of the Creed.

UA Intros Non-Inflatable Paintball Bunkers

Brimstone/Ultimate Airball® launches BARGAIN NON-Inflatable BUNKERS: BuildingBlocks™ Bale Covers

Brimstone Enterprises, Inc., makers of the industry-standard patented Ultimate Airball® inflatable bunker designs used by the PSP and NPPL, launches new BuildingBlocks™ Bunkers – a remarkably inexpensive, low-tech USA-built bunker system that should last for decades.

With BuildingBlocks™ bale covers, turn cheap organic straw bales into super cool-looking colorful, “Stone” or “Camo” or “3D Graphic” bunkers that clean easy and repel paint fill and grime, lasting for years and years, paying for themselves over and over and over again! Straw bales (wheat stalks) are available almost everywhere for a few bucks apiece, so you can create awesome GameScapes™ that last and last!

FOR YEARS, Field Operators have sought simple, affordable ways to build cool-looking bunkers and buildings for players to hide behind. Permanent buildings can be fantastic, but the materials and upkeep cost a fortune. Pallets, barrels, and wire spools are cheap and last a long time, but they look pretty rough. Ordinary hay and straw bales are cheap, but they fill up with paint, rot quickly, and stink to high heaven. Brimstone’s new BuildingBlocks™ vinyl bale covers retain shape and will not rot.

EASY to move, stack, design, and create with, Ultimate Rubble™ straw bunkers cost a small fraction of the price of inflatables, freeing Field Operators from the previous hassles of creating cool GameScapes™ for their valued players!

CREATE “blown-up” buildings, castle ruins, war-torn cities, destroyed fortresses and more. Use wooden boards to add windows and doors. Go double-wide for taller walls and roofable areas. Design massive super-forts so dozens of players can STAY ALIVE and shoot more and more paint. This is always good…

NO MORE Hassles: NO Valves, NO Stakes, NO Bungees, NO Gas or Electric blowers. Idiot-Proof. PERFECT FOR Woodsball, Scenario, Big Game, Laser & AirSoft GameScapes™

Field Operators: REJOICE! See them online: www.UltimateAirball.com

Vendetta Paintball Gets Props For Charity Support

Vendetta Paintball of West Nyack, NY, was praised in a local paper’s coverage today for opening up their facility to charitable organizations.

The owners decided to make their indoor paintball facility available to fund raisers AT NO CHARGE!

This looks like a win-win to us: you expose a heck of a lot of people to the game, and give them a taste while supporting good causes.

The Vendetta owners were motivated by their community which has embraced the field and given them a lot of business during troubling economic times.

What intrigues us here at 68Caliber is this example of a new economic model which has been playing out in other entertainment fields – music, literature, movies – being applied to paintball; seems that when folks get a chance to taste for free, they WILL come back and spend money in the future.

How Other’s See Paintball – Soccer Star Invests In Private Field

Djibril Cisse. Photo Daily Star

The Daily Star (UK) reports that Djibril Cisse has installed an inflatable field in the garden of his 4.5 million dollar mansion in Cheshire.

Friends and fellow footballers (soccer for us yanks) say that Djibril is probably the best shooter in all of professional football.

Between Djibril and the Portuguese team it’s looking like international soccer has some kind of a love affair going on with paintball.  And 68Caliber thinks we know why:  They get to use their HANDS!

RAP4 and TAG Paintball will use Exclusive “Viper RTS” Gaming System for “Operation: End War”

Hollister, CA—The revolutionary scenario game “Operation: End War,” coming this October 2-3, will make full use of the proprietary Viper RTS scenario game system and RAP4’s cutting-edge marker technology. The event will be the first of its kind, as all markers will be magazine-fed in strict keeping with the mil-sim theme. Sponsored by scenario equipment leader RAP4, admission for “Operation: End War” includes a full rental package of RAP4 T68 magazine-fed marker, extra magazines, and a belt to hold them.

When planning the event, and considering the tactical and strategic focus of play, the organizers felt that the exclusive “Viper Real Time Strategy” (RTS) gaming system innovated by Viper Paintball was the only format they wanted to use.

The Viper RTS system creates a game environment that is simple to understand, with layers of complexity for those who choose to immerse themselves. This creates a scenario game that puts full control into the hands of commanders and players. The commanders set the pace, create their own strategy, and test their maneuvers while players engage in constant, meaningful action. There are no spoon-fed missions or strange scoring inconsistencies. Everything is “above-board” and directed by the commanders and the players.

Viper Paintball is eager to bring their Viper RTS system to the west coast, and feels that this tactical environment will make for an awesome west coast debut.

Patterned after “Real Time Strategy” video game designs like those used in “Command & Conquer” and “StarCraft,” points in the Viper RTS are accumulated by accomplishing objectives and strategically placing forces. Money is the result of your activities on the field, and supplies are made available by the possession of certain objectives and having the necessary funds to purchase them. Scoring and tracking is done by proprietary “Viper RTS” software.

Viper Paintball is excited to be working with RAP4 and TAG Paintball to bring this incredible, truly unique event to the players. The combination of the unique Viper RTS format, the tactical aspect of RAP4’s magazine-fed markers, and a great field like TAG, should make this an event to remember.

Attendance will be capped at 400 players, so register NOW!

RAP4’s Latest Paintball Gun

VIDEO: SEE THE T68 INFILTRATOR IN ACTION

Infiltrate, Destroy, and Win – With RAP4’s T68 Infiltrator!

Real Action Paintball is proud to introduce the T68 Infiltrator, the very essence of sophistication for the modern woodsballer. RAP4 built this special marker from the ground up with the most refined technology and latest accessories to give you a select-fire marker with the accuracy you demand, the ergonomics you want, the flexibility of the SplitFire feeding system, and a look that is all business…

…right out of the box.

RAP4 began with the proven, award-winning T68 Gen6 SplitFire action. This durable, all metal action is milled from a solid bar of aluminum, and then filled with the finest seals and springs for shot-to-shot consistency…which means the best accuracy potential the action can give. Then it was crowned with the SplitFire feed mechanism, an indexible collar with positive locking that allows you to select your source of paint: the detachable, 18 round magazine riding in the removable magazine well, or a hopper connected via a standard, starboard-side feed neck.

When you need to run as light as possible, use the magazine and count your shots; carry reloads in your RAP4 Tactical Vest, so you’re ready to top off when you duck behind cover. For extended firefights, twist the SplitFire’s collar – you don’t have to remove the magazine if there’s no time, and there’s no need to keep it there when not in use – and draw paint from your 200 round hopper.

The T68 Infiltrator Kit is then attached to that solid foundation. The barrel is a tactical-length 8″ RAP4 Recon Barrel, which is rifled, and nestles inside the MK23 II silencer. On the accessory rail atop the marker sits the Blade Holographic Sight, an electronic dot sight that lets you – and only you – see just where that first ball will go. Down below is the electronic grip frame that gives you multiple fire modes, including a true semi-auto mode that is legal at every field. Select the firepower you need with the thumb-selector switch, and charge into the action.

Mounted just in front of the trigger guard, the T68 Infiltrator has a removable magazine well that accepts 18 round, interchangeable magazines. The spring powered magazines feed paint up through the underside of the marker, and under that spring power, provide positive feeding regardless of how you hold the marker – on either side, straight up or down, or even upside down. When you really need to run light, the whole assembly removes in a matter of moments, and the SplitFire mechanism lets you index paint from a standard hopper.

The Tacamo SOCOM Buttstock finishes off the marker, and provides a gas-thru connection with a male disconnect for a remote line. Just like the real thing, the Tacamo SOCOM Buttstock provides a positive mount, minimal additional length and weight, and has a foam cover for a positive cheek weld.

When you’re ready to take your game to the next level, start fresh with the T68 Infiltrator, the SOCOM-style marker that’s completely ready to rock…right out of the box.

RTTS Paintball Training Center

This morning we received this note from Steve Killgore:

Opening soon we’ll have an all-weather close quarters battleground called Real Tactical Training Simulations, RTTS for short is a spin-off from recent work enabling more-realistic training for the US Army.
My new paintball team Thor’s Hammer has been helping get this setup and a handful of other friends have had a chance to preview the games and helping improve the layout of the field.
RTTS will make available an arsenal of pistols, submachine guns, assault rifles and even pump shotguns, SAWs and grenade launchers (!) with authentic size and weight, most shoot .43 cal (11mm) paintballs, or powderballs, in a arena with over 12,000 square feet.
The weapons are fantastic and the numerous structures are built with shoot-through panels (a feature the Army preferred in their training) plus the lighting can be adjusted to simulate battles from high noon to twilight. The powderball option is probably a very good choice for most MilSim and airsoft specialists, the effect is similar to the marking type airsoft BB’s but the larger pellets have more visibility flying downrange and more authority on impact including the potential of penetrating select areas of the bunkers.
Check out the site at RTTS
(And given Arizona’s new law, as well as the regular attendance of law enforcement officers, we don’t think there will be too many illegal immigrants over there.)

Enola Gaye Introduces Grenade ‘Ring Pull’ Tech

Enola Gaye, a UK based company that has been producing paint and smoke grenades for ‘like forever’ (since paintball started in the UK – almost) has recently announced their 3rd Gen “ring pull smoke grenade”

According to their recent press release:

It’s been a long time coming” was the quote from Jim Rose (MD of Enola Gaye Products) “we have been working on ring pull technology for our smoke grenades on and off for 5 years. The systems we have tried in the past have been way to unreliable for us to bother bringing to market”

This is all set to change as the egg heads at the Enola Gaye Factory have finally got bomb proof reliability.
